Terms & Conditions - Affiliate Program

By signing up to be an affiliate with Performance Art Athletics LLC (the “Program”) you agree to be bound by the following terms and conditions (the “Terms”). Please ensure that you read them carefully before signing up. These Terms are a legal agreement between Performance Art Athletics LLC a company registered in Minnesota, USA (“Performance Art Athletics”, “Vertical Art Athletics” “we”, “us”) and You (the “Affiliate”, “you”).  This Agreement takes effect when you are accepted into the Program (the "Effective Date) and shall remain in effect until the end of the current calendar year and shall be automatically renewed for successive one (1) year periods unless otherwise terminated according to the cancellation or termination provisions contained in this Agreement. If you are not accepted into the Program, then this Agreement does not come into effect.

We reserve the right to update and change the Terms from time to time without notice. Any amendments, modifications, enhancements or changes to the Program including the release of new features and resources made available by us from time to time shall be subject to these Terms. Continued use of the Program after any such changes shall constitute your consent to such changes. Any violation of these Terms may result in, among other things, termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.

Account Registration Application

To join the Program, you must be 18 years of age or older.  Complete the Affiliate Form providing your legal full name, a valid email address, and any other information requested in order to complete the sign-up process for an Affiliate account (“account”), agree to be bound by the Terms & Conditions and will be notified by Performance Art Athletics of acceptance into the Program with instructions on payment set-up and how to access your Affiliate URL generating link. 

For processing the Application we will be using your Profile details so make sure that is correct and make sure to not use any alias, pseudonym or other means to mask your identity or business details. You should update your details in the future if the information you have provided changes or is updated. Any false or incorrect information, or a failure to update the details, is cause for rejection of your Application, or if later discovered, the immediate termination of your Partner status without compensation. We may accept or reject your Application at our sole discretion for any reason.

Each account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. Responsibility for the security of any usernames and passwords issued rests with you.

You may not use the Program for any illegal or unauthorized purpose. You must not, in the use of the Program, violate any laws in your jurisdiction (including but not limited to copyright laws).

Referral Links & Promotion

Once you are accepted into the Program you will have access to your unique Partner URLs/Partner ID's, which You will use to promote Performance Art Athletics (Vertical Art Athletics). Your unique Partner URL link that must be used to identify you when placing a link from your site, email or other communications to the Performance Art Athletics website. It is your responsibility to ensure each such link is correctly formatted.

Referral Fees

When someone (a "Prospect") clicks through that URL, a cookie (or similar tracking technology (hereinafter "Cookie") will be set in the Prospect's browser. When the Prospect registers for a course by using your Partner URL, the Cookie on the Prospect’s browser, corresponding to your unique URL, registers a "Sale." For the sale of a course registration to be eligible to earn a referral fee, the customer must click-through a link from your site, email, or other communications to the Performance Art Athletics website and sign up within 90 days of the initial click-through. If they fail to sign up within those 90 days and later return without following your link, you will not earn a referral fee. In the event that a Prospect has multiple Partner Cookies, the most recently-acquired Cookie will determine which Partner is credited with a Sale.

We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you, but it was not tracked by our system.

The referral fee is 15% of our revenue from customers that you refer. The referral fee will be credited to your Affiliate account once the customer pays their subscription. Referral fees are only earned if a customer makes a payment in full.

Courses & services coordinated exclusively for your studio (live onsite training or virtual live stream) are excluded from the affiliate program and will not gain a 15% referral fee. Affiliate products and printed manuals are excluded from the affiliate program and will not gain a 15% referral fee.

Payment

You must have a valid PayPal account to receive referral fees, as we do not offer payment via cheque/check, credit card, cash or other method. You must have your PayPal account connected to receive your affiliate commission.

It is your responsibility to ensure your PayPal account information is correctly formatted, and you are responsible to update your payment details in the future if the PayPal information you have provided changes or is updated.

A summary of sign ups and statement of referral fees is available to the Affiliate by logging into their Affiliate account.

The referral fee structure and payment method is subject to change at our discretion.

We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you.

We reserve the right to check and change commissions on the basis of orders actually paid.

Minimum Payments 

Accrued referral fees are paid via PayPal roughly once per month and only when your accrued referral fees total $100USD or more. Your combined commission amount must equal or exceed $100USD before you receive a payment from Performance Art Athletics. If your combined commissions and bonuses for a given month are less than $100USD, your commissions and bonuses will be held until your combined commissions equals or exceeds $100USD.

Commissions 

Commissions are paid only for transactions that actually occur between Performance Art Athletics and a Sale. If the transaction does not actually occur, or if payment from a Sale is not actually received by Performance Art Athletics you will not paid a Commission on the transaction. If payment later results in a refund or charge-back, and if a commission was paid to you for that referral payment, then the commission will be deducted from your future commissions. If Performance Art Athletics determines, in its reasonable discretion, that any Sale was procured fraudulently or as a result of any violation of this Agreement, no Commission will be paid for such a Sale. If any Commissions or Bonuses are paid for a Sale that was produced fraudulently or as a result of any violation of this Agreement, and the fraud or violation is discovered by Performance Art Athletics after payment, such payment amounts shall be deducted from your future commissions and bonuses. We may delay crediting of referral fees subject to risk analysis considerations and Anti-Money Laundering procedures.

Taxes 

All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you. You are responsible for any and all tax liabilities, including without limitation income tax liabilities that arise from or in any way relate to any commissions you receive from Performance Art Athletics.

Affiliate Disclosure 

On any website, email, or other communications where you advertise any Performance Art Athletics courses, You must plainly display (i.e., not in a link, or in small font) the following disclaimer language or similar: “We are a participant in the Performance Art Athletics Affiliate Program. We earn affiliate commissions when you purchase through our Partner URL/Link.”

Truthful Marketing

Anything You communicate in marketing or advertising any Performance Art Athletics courses must be true and accurate. Claims that relate to any Performance Art Athletics courses that are untrue or fraudulent are strictly prohibited. You may not use the intellectual property of any other person or entity in advertising any Performance Art Athletics courses. You may not engage in any marketing activity that may harm the reputation or credibility of Performance Art Athletics, including using low-quality marketing materials, or advertising on any site that promotes violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, or any illegal activities, or violates the intellectual property or rights of a third party. You must include a physical mailing address and unsubscribe information for any marketing email sent promoting Performance Art Athletics courses. You shall not use malware or spyware to market or promote Performance Art Athletics services.

Non-Disparagement 

You are not permitted to disparage the products or services of any other person or entity, including without limitation the products or services of a competitor of Performance Art Athletics, any other customer or partner of Performance Art Athletics, or Performance Art Athletics itself.

Customer Definition

Every customer who buys a service through this program is deemed to be a customer of Performance Art Athletics. Accordingly, all of our rules, policies, and operating procedures concerning pricing, customer orders, customer service, and services sales will apply to those customers. We may change our policies and operating procedures at any time. Performance Art Athletics is not responsible for any representations made by the Affiliate that contradict our rules, policies or operating procedures.

Pricing & Availability

We will determine the prices to be charged for courses & services sold under this Program in accordance with our own pricing policies. Course & service prices and availability may vary from time to time. Because price changes may affect courses & services that you have listed on your site, you should not display course & service prices on your site.

Copyrighted and Trademarked Material

You are solely responsible for ensuring that your reviews, product descriptions and articles (if applicable at your site) obey all applicable copyright, trademark, and other laws. Performance Art Athletics will not be responsible if you use another party's copyrighted or trademarked material in violation of the law.

Term of the Agreement and Program

The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement. Performance Art Athletics reserves the right to end the Program at any time. Upon Program termination, Performance Art Athletics will pay any legitimate outstanding earnings.

Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You may not in any manner misrepresent or embellish the relationship between us and you, say you develop our Services, say you are part of Performance Art Athletics or express or imply any relationship between us and you or any other person or entity, except as expressly permitted by this Agreement. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement. Performance Art Athletics -
